These Terms of Service (“Terms”) constitute a legally binding agreement between you and Crfted, Inc. (“Crfted,” “we,” “our,” or “us”), a Delaware public benefit corporation with a principal office at 3556 S 5600 W #1-722, Salt Lake City, UT 84120. They govern your access to and use of the Crfted platform, including the website located at crfted.co, any mobile application, and all related services (collectively, the “Platform”). Please read these Terms carefully before creating an account or using the Platform.

BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE AN ACCOUNT OR USE THE PLATFORM.

These Terms should be read alongside our Privacy Policy, our Seller Agreement, and any other policies incorporated herein by reference.

1. About Crfted

Crfted is an online marketplace that connects independent makers and artisans (“Makers” or “Sellers”) with buyers seeking authentic, handcrafted goods (“Buyers”). We believe commerce should be human. Every item sold on Crfted must be genuinely handmade — designed and created by the Seller who lists it.

Crfted, Inc. operates as a marketplace facilitator only. We are not a party to any transaction between Buyers and Sellers.

Crfted was founded on the conviction that the people who make things deserve a platform built in their interest — one with no sponsored listings distorting discovery, no surprise fee increases, and no listing fees creating financial risk before a single item sells.

2. Eligibility

To use the Platform you must:

• Be at least 18 years of age;
• Have the legal capacity to enter into binding contracts in your jurisdiction;
• Not be a person barred from receiving services under the laws of the United States or other applicable jurisdiction;
• Provide true, accurate, current, and complete information during registration and maintain the accuracy of that information; and
• Comply with all applicable federal, state, and local laws and regulations.

3. Accounts

3.1 Account Types

Users may register as a Buyer, a Maker (Seller), or both. Maker accounts are subject to additional eligibility requirements set forth in the Seller Agreement.

3.2 Account Registration

You agree to provide accurate, complete, and current registration information. Display names and shop names may not be offensive, impersonate another person or entity, or violate any third-party rights.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You must immediately notify Crfted at hello@crfted.co if you suspect unauthorized access.

3.4 One Account Per User

You may maintain only one Buyer account and one Maker account at any time. Creating duplicate accounts to circumvent suspensions or policy violations is strictly prohibited.

4. Buyer Terms

4.1 Purchasing on Crfted

Buyers may browse and purchase items listed by Sellers on the Platform. By completing a purchase, you enter into a direct contract with the Seller for the sale of that item. Crfted is not a party to that contract.

4.2 Order Fulfillment and Delivery

Sellers are independently responsible for fulfilling and shipping orders in accordance with the processing times and shipping estimates stated in their listings.

4.3 Payment and Escrow

Payment is captured at the time of purchase and held in escrow. Funds are released to the Seller on the earlier of: (a) the Buyer marking the order as received, or (b) fourteen (14) calendar days following the Seller marking the order as shipped.

4.4 Returns and Refunds

Each Seller sets and is responsible for their own return and refund policy, which is displayed on the listing page prior to purchase.

4.5 Item Authenticity

Crfted requires all Sellers to list only genuine handmade goods. While we take commercially reasonable steps to enforce this requirement, we cannot guarantee that every item meets the handmade standard in every respect.

4.6 Prohibited Buyer Conduct

As a Buyer, you agree not to:

• Submit false, fraudulent, or misleading reviews;
• Harass, threaten, or abuse Sellers through any Platform communication channel;
• Attempt to conduct transactions outside the Platform to circumvent fees;
• File false or bad-faith disputes or chargebacks;
• Purchase items with a known intent to misuse, harm, or defraud; or
• Use the Platform in any way that violates applicable law.

5. Workshop Bookings

5.1 What Workshop Bookings Are

In addition to handmade goods, Makers on the Platform may list in-person workshops and classes (“Workshops”) for Buyers to purchase.

5.2 Booking and Payment

Workshop bookings are processed through the Platform using the same payment infrastructure as product purchases. Funds are released to the Maker forty-eight (48) hours following the scheduled Workshop date.

5.3 Cancellations and Refunds

• If a Maker cancels a Workshop for any reason, all registered Buyers are entitled to a full refund.
• If a Buyer cancels at least seven (7) calendar days before the scheduled Workshop date, the Maker’s stated cancellation policy applies.
• If a Buyer cancels fewer than seven (7) calendar days before the scheduled Workshop date, no refund is required unless the Maker’s policy provides otherwise.
• If a Buyer does not attend a Workshop without canceling (“no-show”), no refund is due regardless of the Maker’s policy.

5.6 Crfted Workshop Fee

Crfted charges a 10% fee on the gross booking price of each Workshop.

6. Maker (Seller) Terms

Makers who sell on the Platform are subject to these Terms and, additionally, the Crfted Seller Agreement, which is incorporated herein by reference.

6.1 Handmade-Only Requirement

All items listed must be designed and physically made by hand by the Maker or their directly supervised team. Mass-produced goods, dropshipped items, AI-generated finished product artwork, and resold unaltered vintage or secondhand items are prohibited.

6.2 Commission Structure

• Standard rate: 10% of the gross sale price (including shipping, excluding applicable sales tax);
• Founding Maker rate: 8% for the first 12 months following shop opening, then 9% permanently; and
• The applicable commission rate for each account is displayed in the Maker’s seller dashboard.

6.3 No Sponsored Listings

Crfted does not sell sponsored placements, promoted listings, or paid search ranking on the Platform. Discovery is determined entirely by relevance algorithms, buyer search behavior, and community engagement — not by payment to Crfted.

7. Intellectual Property

7.1 Crfted’s Intellectual Property

The Platform, including its design, code, trade dress, trademarks, service marks, logos, and all content created by Crfted, is the exclusive property of Crfted, Inc.

7.2 User Content License

By posting any content on the Platform, you grant Crfted, Inc. a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, display, reproduce, adapt, distribute, and promote that content in connection with operating and marketing the Platform. You retain full ownership of your User Content.

7.3 DMCA and Copyright Complaints

If you believe content on the Platform infringes your copyright, you may submit a written DMCA takedown notice to dmca@crfted.co. For full details, see our DMCA Copyright Policy.

8. Prohibited Conduct

You agree that you will not use the Platform to:

• Violate any applicable law, regulation, or third-party right;
• Circumvent or attempt to circumvent any security feature of the Platform;
• Scrape, index, or systematically extract data from the Platform without express written permission;
• Introduce malware, viruses, or other harmful code;
• Impersonate any person or entity;
• Solicit Buyers or Sellers to conduct transactions outside the Platform to avoid fees;
• Harass, threaten, abuse, or discriminate against any user; or
• Attempt to gain unauthorized access to any other user’s account.

9. Reviews and Community Standards

9.1 Reviews

Buyers may leave a review for a completed transaction. Reviews must be honest, first-hand accounts of the buyer’s actual experience.

9.2 Maker Journals

The Maker Journal feature allows Sellers to share behind-the-scenes content, process posts, and creative updates with their followers.

10. Privacy and Data

Crfted collects, uses, and protects personal information as described in our Privacy Policy, which is incorporated herein by reference.

11. Fees, Taxes, and Payments

11.1 Platform Fees

Crfted charges commissions on completed sales as described in the Seller Agreement. There are no listing fees, no monthly subscription fees for Seller accounts, and no fees for buyers to browse or purchase.

11.3 Sales Tax

Crfted uses Stripe Tax to calculate, collect, and remit applicable sales taxes on transactions where required by law.

11.4 1099-K Reporting

Sellers who meet the applicable IRS reporting threshold will receive a Form 1099-K from Crfted by January 31 of the following year.

12. Dispute Resolution

12.1 Buyer-Seller Disputes

In the event of a dispute between a Buyer and Seller, the parties must first attempt to resolve the matter directly through the Platform’s messaging system within seven (7) business days.

12.2 Disputes Between You and Crfted

Any dispute arising out of or relating to these Terms shall be resolved by binding individual arbitration under the rules of the AAA in Salt Lake County, Utah, unless otherwise required by applicable law.

YOU AND CRFTED EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.3 Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions, and applicable federal law.

13. Disclaimers of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRFTED EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

CRFTED DOES NOT WARRANT THAT: (a) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (b) ANY DEFECTS WILL BE CORRECTED; (c) THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (d) THE CONTENT PROVIDED THROUGH THE PLATFORM IS ACCURATE, COMPLETE, OR CURRENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CRFTED, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

CRFTED’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT OF COMMISSIONS OR FEES PAID BY YOU TO CRFTED IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (b) ONE HUNDRED DOLLARS ($100.00).

15. Indemnification

You agree to defend, indemnify, and hold harmless Crfted, Inc. and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees arising out of or relating to your violation of these Terms or your use of the Platform.

16. Account Suspension and Termination

16.1 By Crfted

Crfted may suspend or terminate your account for conduct that violates these Terms or any incorporated policy, is harmful to other users, or involves fraud, deception, or illegal activity.

16.2 By You

You may close your account at any time through your account settings or by contacting hello@crfted.co.

17. Third-Party Services and Links

The Platform may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Crfted.

18. Modifications to the Platform and These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting a notice on the Platform. We will provide at least thirty (30) days’ notice before material changes take effect.

19. General Provisions

These Terms, together with the Privacy Policy, the Seller Agreement (if applicable), and any other policies incorporated by reference, constitute the entire agreement between you and Crfted regarding the Platform.
